1.Acceptance of these terms
These Terms of Service (“Terms”) form a binding agreement between you and Hansco Lens Pvt. Ltd. (“Hansco Lens”, “we”, “us”). By accessing our website, opening an account, requesting a quote or placing an order, you agree to these Terms and to our Privacy Policy and Shipping & Returns policy. If you are acting for a business, you confirm you have authority to bind it. If you do not agree, please do not use our site or services.
2.Eligibility
Our trade services are offered to opticians, optometrists, eye clinics, hospitals, eyewear brands and other business customers, and our retail services to individuals who are at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872. We may ask for proof of business registration, GST registration or professional qualification before approving an account or supplying certain products.
3.Accounts and B2B trade accounts
- You must provide accurate, current and complete information and keep it updated, including GSTIN and billing details.
- You are responsible for all activity under your account and for keeping your credentials confidential. Tell us immediately of any unauthorised use.
- Trade accounts may carry negotiated pricing, credit terms, minimum order values or volume commitments, which will be set out in a separate written trade agreement or approval email. Credit limits and terms may be reviewed or withdrawn at our discretion, including for late payment.
- Trade customers must resell or dispense our products only in compliance with applicable law and must not misrepresent product specifications to end users.
- We may suspend or close an account for breach of these Terms, non-payment, suspected fraud or misuse.
4.Prescriptions and medical disclaimer
Prescription lenses are made to the specification you supply. Accordingly:
- You are responsible for ensuring that every prescription submitted is valid, current and issued by a licensed optometrist or ophthalmologist, and that measurements such as pupillary distance and fitting height are accurate.
- We do not diagnose eye conditions, and our lenses are not a substitute for a comprehensive eye examination. Regular eye check-ups are recommended.
- We may contact you to confirm unclear, incomplete or unusual prescription values, which may delay your order. We are not liable for errors in a prescription as supplied to us.
- Trade customers confirm they hold any consents needed to share their customers’ prescription data with us for manufacturing.
- If you experience discomfort, headaches or visual disturbance, stop using the lenses and consult an eye-care professional.
5.Orders, pricing and taxes
- All prices are in Indian Rupees (INR) and, unless stated, are exclusive of GST, which is added at the applicable rate and shown on the tax invoice. Shipping charges, if any, are shown separately.
- An order is an offer to buy. A contract is formed only when we confirm the order in writing (including by email) or dispatch it.
- We may correct pricing or description errors, change prices, and decline or cancel orders (for example for stock constraints, suspected fraud or an unclear prescription). If we cancel a paid order, we will refund the amount paid.
- Quotes are valid for the period stated on them, or 15 days if none is stated.
6.Payment
Payment is accepted through the methods shown at checkout or on the invoice, such as UPI, cards, net banking and bank transfer (NEFT/RTGS). Online payments are processed by third-party payment gateways whose terms apply. Unless a written credit arrangement applies, payment is due in full before dispatch. For approved trade credit, invoices are payable within the agreed term; we may charge interest on overdue sums at 1.5% per month and suspend further supply until dues are cleared.
7.Custom-made prescription lenses
Prescription, freeform and coated lenses are made to order for a specific wearer and cannot be resold. They are therefore subject to the limited return and remake terms in our Shipping & Returns policy. Lens thickness, edge appearance, tint and coating colour may vary slightly between batches and are not defects. Cancellation after production has begun is not possible.
8.Intellectual property
The Hansco Lens name, logo, website content, product imagery, text, designs, catalogues and software are owned by or licensed to us and protected by Indian and international intellectual-property laws. You may not copy, modify, distribute or create derivative works from them, or use our marks, without prior written permission.
Trade customers may use approved product names and images supplied by us to promote genuine Hansco Lens products, subject to any brand guidelines we provide. You grant us a limited licence to use materials you send (such as frame drawings or logos) solely to fulfil your order, and you confirm you have the right to do so.
9.Warranty
We warrant that our lenses will be free from manufacturing defects in material and workmanship at the time of delivery. In addition:
- Coating warranty: anti-reflective, hydrophobic and blue-cut coatings are warranted against peeling, crazing and delamination under normal use for [12] months from the invoice date. The period for specific products may differ and will be stated at the time of sale.
- The warranty does not cover scratches, chips, breakage, heat or chemical damage, improper cleaning, normal wear, frames, fitting or edging done by third parties, or lenses altered after delivery.
- Claims must be made in writing with photographs and order details to support@hanscolens.com. At our option we will repair, replace or credit the affected lens.
Except as stated above and to the extent permitted by law, we give no other express or implied warranties, including fitness for a particular purpose. Nothing in these Terms limits any rights you have as a consumer under the Consumer Protection Act, 2019.
10.Acceptable use of the website
You agree not to misuse the site: no unlawful activity, interference with its security or operation, automated scraping, attempts to gain unauthorised access, uploading malicious code, or submitting false or misleading information. We may restrict access where we reasonably suspect misuse.
11.Limitation of liability
To the maximum extent permitted by law, Hansco Lens will not be liable for any indirect, incidental, special or consequential loss, or loss of profit, revenue, goodwill or data, arising from your use of the site or our products. Our total aggregate liability for any claim relating to an order is limited to the amount paid by you for the products giving rise to the claim.
We are not liable for delay or failure caused by events beyond our reasonable control, such as natural disasters, strikes, courier disruption, government action or supplier failures. Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by our negligence.
12.Indemnity
You agree to indemnify and hold harmless Hansco Lens Pvt. Ltd., its directors, employees and partners from claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, an inaccurate or invalid prescription you supplied, your infringement of any third-party right, or your dispensing or resale of our products in breach of law.
13.Privacy
Our handling of personal data is described in the Privacy Policy. Where you send us a third party’s personal data, such as a wearer’s prescription, you confirm you are entitled to do so.
14.Governing law and jurisdiction
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith through discussion. Failing that, the courts at Gurugram, Haryana will have exclusive jurisdiction, subject to any non-excludable consumer rights to approach a Consumer Commission under the Consumer Protection Act, 2019.
15.Changes to these terms
We may revise these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date and applies to orders placed after that date. Continued use of the site after changes means you accept them.
16.General
If any provision is found unenforceable, the rest remains in effect. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor to our business. These Terms, together with any written trade agreement, constitute the entire agreement between us on their subject matter.
